Real Estate

Residential and commercial closings, deed transfers, and property disputes

We provide representation of the buyer interested in purchasing real estate for residential or commercial purposes, including:

  • reviewing and analyzing the contract and contract rider;
  • negotiating and drafting modifications to documents initiated by the seller;
  • negotiating and drafting the buyer’s contract rider;
  • assisting clients, interested in buying a co-op apartment, to prepare a board application for submission to the building’s board of directors.

A typical board application includes a detailed financial statement (with supporting documents) and reference letters, but may include other documents and information at the board’s discretion. The board is also likely to conduct a background check and interview. A co-op cannot be purchased without buyer approval from a building’s board.

  • ordering, reviewing, and analyzing the title search and survey

A title search is an examination of public records to determine and confirm a property’s legalownership, and whether legal claims against the property exist.

A survey is an assessment of property lines to determine the exact amount of land that a homeowner owns, and whether easements (legal right to use) exist on the property;

  • reviewing and analyzing the terms of any lease(s) on the property;
  • negotiating any issues which may arise regarding the title search, any lease(s) on the property, and buyer’s request for mortgage;
  • drafting the breakdown of closing costs;
  • negotiating a date of closing and representing the client at closing, including review and discussions regarding closing documents

On the Closing date (also referred to as completion or settlement), the ownership of the property is transferred to the buyer;

Most closings are actually two closings: closing on the purchase of real estate, and closing on a mortgage loan to buy the real estate.

  • Providing notice(s) of the ownership change to any tenant(s).

We provide representation of the seller interested in selling real estate for residential or commercial purposes, including:

  • drafting the contract and contract rider;
  • reviewing, analyzing, and negotiating modifications to documents requested by the buyer;
  • reviewing and analyzing the buyer’s contract rider;
  • analyzing the title search and survey;
  • providing assistance and advice (not including real estate litigation) regarding title issues;
  • reviewing and analyzing the terms of any lease(s) on the property;
  • analyzing the closing costs;
  • negotiating a date of closing and representing the client at closing, including drafting of closing documents and payment.

A residential lease agreement is a contract between an individual tenant and the landlord to use of property for living. A commercial lease is a contract between a business tenant and landlord for use of commercial property to generate a profit through the sale of goods, services, or manufacture of a product. We provide representation of the owners or tenants of residential and commercial properties, including:

  • negotiating the terms of commercial and residential leases between owner(s)/landlord(s) and tenant(s);
  • drafting leases and riders on behalf of the owner(s)/landlord(s);
  • reviewing leases and riders on behalf of the tenant(s), and drafting additional riders, as needed;
  • negotiating the terms of commercial and residential leases between owner(s)/landlord(s) and tenant(s).

We provide representation of the owners or tenants of residential and commercial properties, from the inception of legal issues through the completion of trial in non-payment and eviction matters.

Frequently Asked Questions (FAQs)

What documents do I need to create a solid estate plan?

A strong estate plan in New York typically includes a last will and testament, revocable living trust (if needed), durable financial power of attorney, health care proxy, and living will or other advance directives. These planning documents work together to manage your property during life, distribute your assets after death, and protect you if you become incapacitated.

A will outlines your wishes after death and must go through probate court. A trust, especially a revocable living trust, lets you transfer property during life or after death without probate. Many families benefit from both: a trust for asset protection and privacy, and a will to cover anything left out or name guardians for minor children.

If someone dies without a will, called dying “intestate,” New York State laws decide who inherits their assets. The probate court appoints an administrator, and property is distributed to heirs in a fixed order: spouse, children, parents, siblings, etc. This process can be time-consuming and may not reflect the person’s actual wishes.

Yes. Probate can be avoided by using tools like revocable living trusts, beneficiary designations, joint ownership, and transfer-on-death deeds. These allow property to pass directly to loved ones without court involvement. A well-designed estate plan can reduce costs, maintain privacy, and speed up the distribution process.

Choose someone you deeply trust who is capable of making financial or medical decisions in your best interest. This person should be organized, reliable, and familiar with your values. Your financial power of attorney and health care proxy are legally powerful roles, select individuals who can manage serious responsibilities if you become incapacitated.

The process typically starts with filing the will (if one exists) in New York probate court. An executor or administrator is appointed to gather assets, pay debts and taxes, and distribute the estate to heirs or beneficiaries. The timeline can range from months to over a year, depending on the size and complexity of the estate.

You should review your estate plan every 3–5 years or after major life events like marriage, divorce, birth of a child, moving to a new state, or a significant change in assets. Changes in tax law, your beneficiaries’ circumstances, or your health may also require updates to ensure your estate planning documents stay effective.

Yes. In your will, you can name a legal guardian to care for your minor children if you and the other parent pass away or become incapacitated. Without this, a court will decide who raises your children. Proper legal guardianship planning offers peace of mind and helps avoid custody disputes.

A living trust allows your assets to bypass probate, which saves time, money, and court supervision. It’s especially useful if you own property in multiple states or want to keep your affairs private. Unlike a will, a trust can manage your assets during your lifetime and after death, making it ideal for incapacity planning and asset protection.

Proper estate planning helps you leverage tools like gifting, irrevocable trusts, charitable giving, and tax exemptions to reduce or avoid estate taxes and gift taxes. It can also shield assets from creditors or lawsuits. High-net-worth individuals often use customized asset protection strategies to preserve wealth for future generations.

Absolutely. An advanced directive (like a living will) and health care proxy ensure that your medical wishes are followed if you can’t speak for yourself, due to accident or illness. These documents give loved ones clarity and authority to act in your best interest, reducing stress during medical emergencies.

Our attorneys handle contract review, title searches, negotiations, and deed transfers for residential and commercial real estate. Having a real estate lawyer ensures that all paperwork complies with New York State law, protects your interests, and helps prevent costly legal issues down the line.

Your immigration status may affect your eligibility for estate tax exemptions, property ownership, and how assets transfer across borders. International families often need to plan for dual citizenship, foreign property, and different inheritance laws. Our firm integrates estate planning with immigration law to help you plan confidently across jurisdictions.
